Soft commercial terms for Latest Byte China Innovation Tours. No venue, host, or outcome guarantees. Access density is the product.

Soft commercial terms. No venue, host, speaker, sequence, or outcome is guaranteed.

Only commercial framing of the fee: value for money via unprecedented access (relationship-based doors and density on a GBA circuit). Access that week is real effort, not a warranty.

Merchant of record and bank details: Booking Form / invoice only.

1. Booking

A place is held only when the signed Booking Form and these Terms are accepted and any payment required on that form has cleared. Initiating a transfer does not hold a seat until funds clear and confirmation is issued.

2. Cancellation

Cancellation, refund, and credit rules are as stated on the Booking Form for that departure (may differ by product and timing). Force majeure, advisory, or operator cancellation: options (refund, credit, or revised dates) as stated on the Form or in writing at the time — we will not use “no guarantees” as a reason to withhold a fair remedy when we cannot run the trip.

3. Group size

Each departure has a target and maximum group size on the Confirmation Pack. We may merge, postpone, or cancel a thin departure; if we cancel, payment handling follows the Form or written notice.

4. Itinerary & access — no guarantees

Everything about specific content is indicative.

  • Cities, themes, and the general shape of an 8-day GBA immersion are the product intent.
  • No factory, lab, brand, official, dinner guest, demo, or “wow” moment is guaranteed.
  • Hosts may refuse, reschedule, or limit access (especially for foreigners, minors, or sensitive sites) with little notice.
  • We substitute, reorder, or drop items as needed for access, safety, weather, traffic, or host preference.
  • Marketing stories, one-liners, sample itineraries, and venue menus are illustrative, not contractual specifications.

What the fee is about: serious attempt at unprecedented access and density relative to a standard tour — not a checklist of named sites.

Illness, emergency, or force majeure may require a substitute lead; we will notify as soon as practical.

5. Outcomes & deliverables

  • We do not guarantee fluency, business results, introductions that convert, portfolio quality, board outcomes, or project success.
  • Youth (Makers / Engineers): any artifacts, notes, or stories from the week are goodwill extras, not contracted deliverables. The value is the experience, not a guaranteed output.
  • Company & project-owner tiers (Scale / Frontier / China Unlocked): the Booking Form states defined deliverables for that departure — e.g. a priced bill of materials and sourcing playbook (Scale), a board-ready real-vs-vaporware brief (Frontier), or a network intro list and whiteboard session (China Unlocked). Those stated deliverables are contracted; specific venues, hosts, and outcomes remain indicative per §4.
  • Any materials beyond the stated deliverables are goodwill extras unless a separate written agreement says otherwise.

6. Health, conduct, sites

Expect long days, industrial environments, walking, heat, and strict host rules (including photo bans). Follow safety instructions. We may remove a delegate for cause (safety, disruption, host risk) under rules on the Booking Form. Do not publish proprietary process detail without host permission.

7. Insurance & visas

Comprehensive travel insurance (medical, evacuation, cancellation, liability) is required by the date on the Form. Proof may be required before travel. Visas and entry compliance are the traveller’s responsibility unless the Form says otherwise.

8. Force majeure & advisories

Natural disaster, pandemic controls, unrest, government action, major advisory changes, or similar may force postpone, reroute, simplify, or cancel. Remedies: as notified in writing (refund, credit, or new dates) — not limited to “itinerary was only aspirational.”

9. Youth (Makers / Engineers)

Parent or designated adult accompaniment is the default unless a specific unaccompanied arrangement is agreed in writing with safeguarding details. Border (mainland ↔ Hong Kong) documents for minor and adult are the family’s responsibility. Media use of minors: parent/guardian consent required; no blanket irrevocable release assumed.

10. Company & project-owner buyers

Your organization is responsible for internal compliance, export-control awareness, and any NDAs you need beyond host rules. We do not guarantee procurement-friendly SLAs on named sites.

11. Non-compete (optional, if on Form)

If the Booking Form includes a non-compete, it applies only as written there — typically limited to not reselling a competing multi-day GBA factory tour product built from our materials, and not to parents on youth products unless explicitly stated. Default if silent on the Form: no non-compete.

12. Media (adults)

We may capture group photography for operational or light promotional use unless you opt out in writing before Day 1 (adults). Youth: §9.

13. Liability

Industrial and travel activity involve risk. Delegates follow instructions and participate understanding that risk, to the extent permitted by law. Mandatory consumer rights in your home jurisdiction are not excluded where they cannot be excluded by contract. We are not liable for business decisions you make after the trip, or for host acts beyond our reasonable control. Any liability cap is as stated on the Booking Form, except where law requires otherwise.

14. Operator discretion

We may refuse a booking for lawful reasons; if we refuse without your breach, payments already taken for that booking are returned per the Form.

15. Changes

We may update these terms for future departures; the version attached to your Booking Form governs that booking.
